1. Eligibility

1.1. To be eligible for the Program, you must be at least 18 years old and reside inthe United States of America.

2. Program Overview

2.1. The Program allows participants ("Ambassadors") to promote Company products and services through various channels such as word-of-mouth, 1:1 client outreach, social media, website and blogs.

2.2. Ambassadors are eligible for monetary compensation (10% of net order value) based on orders that are driven through their affiliate link or the use of their personal promotion code.

2.3 Ambassadors can extend a 10% discount to their customers through their affiliate link or the use of their personal promotion code. No purchase minimum is required.

2.4 The program will be hosted through Shopify collabs. Ambassadors must set up their profile and their payment information in order to receive payouts for the commission they earn.

2.5 Payouts will be automatically processed 90 days after the sale is complete. This is to ensure we pass the period of canceled or returned orders.

3. Ambassador Responsibilities

3.1. Ambassadors are required to represent the Company in a positive and professional manner at all times.

3.2. Ambassadors must disclose their relationship with the Company when promoting Company products or services, as required by applicable laws and regulations.

3.3. Ambassadors are allowed to create content to post and share using their affiliate link.

3.4. Ambassadors must not engage in any activities that may harm the Company's reputation or brand image.

4. Performance Metrics

4.1. Modloft reserves the right to track Ambassador sales performance using Shopify Collabs application.

5. Termination

5.1. Modloft reserves the right to terminate an Ambassador's participation in the Program at any time for any reason, including but not limited to violation of inappropriate content, sharing affiliate links or promotion codes with other websites, and farming our codes to coupon or loyalty plugins.

5.2. Ambassadors may also terminate their participation in the Program at any time by providing electronically written notice to Modloft. Please submit termination to cmo@modloft.com to be removed from the program.

6. Confidentiality

6.1. Ambassadors may have access to confidential information about the Company and its products or services. Ambassadors agree to keep such information confidential and not disclose it to third parties without the Company's consent.

7. Intellectual Property

7.1. Ambassadors retain ownership of any original content created by them as part of the Program. However, Ambassadors grant the Company a non-exclusive, royalty-free, perpetual license to use, reproduce, and distribute such content for promotional purposes.

8. Governing Law

8.1. These Terms shall be governed by and construed in accordance with the laws of Florida.

9. Amendments

9.1. The Company reserves the right to amend these Terms at any time without prior notice. Ambassadors will be notified of any changes to the Terms, and continued participation in the Program constitutes acceptance of the amended Terms.

By participating in the Ambassador Program, you acknowledge that you have read, understood, and agree to abide by these Terms and Conditions.
